Codere New Topco S.A.

The restructuring of Codere Group, has involved a corporate reorganisation, through the creation of four companies in Luxembourg, called Codere New Topco S.A., Codere New Midco Sàrl, Codere New Holdco S.A., and Codere Luxembourg 3 Sàrl.

The reorganization involves the execution of the pledge on the shares of Codere Luxembourg 2 S.à r.l. and the capitalization of a part of the Super Senior Bonds, for 95% of the issued share capital of Codere New Topco S.A., which is the new holding company.
